Monochrome Brand Partnership Agreement Contents Explained

Monochrome’s Brand Ambassador program is built for creators who drive real downloads—not bots, not hype. This guide breaks the agreement down so you know exactly how you’re measured, how you get paid, and how your content can (and can’t) be used. We’ll walk through every clause—engagement, KPIs, compensation, anti-fraud, term, independent-contractor status, data privacy, and governing law—and translate the legal into practical steps you can act on today.


You’ll also see answers to the most common partner questions raised what happens if fraud is suspected, how payment timing works, how rates are applied, and when Monochrome can reuse your content (only with your consent and for a separate fee). 1) Engagement & Role

What it means: Monochrome authorizes you to publicly promote the ride-share app and encourage downloads using your unique referral code. You agree to represent the brand professionally.

Example: You post Reels/TikToks about getting to shoots with Monochrome and place your referral code in the caption, bio, and story stickers. Friends and followers who download via your code are counted towards your rewards.


2) Key Performance Indicator (KPI)

What it means: Your main success metric is the number of unique, non-fraudulent app downloads credited to your code. Monochrome confirms this inside its analytics. If your referees also take their first ride within the agreement window, that can trigger an additional bonus (see Compensation).

Example: If 120 people download the app using your code within your agreement start and end date, that’s 120 verified downloads pending fraud checks. If 45 of those also complete their first ride in within your agreement start and end date (within the effective term), the “first ride” bonus applies to those 45.


3) Compensation

What it means:

  • You’re paid per verified download and per first ride taken by a new user who came in via your code.

  • Updated rates: A specified per verified download and a specified amount per first ride.

  • If Monochrome commissions extra usage of your content (e.g., to run on its channels as ads, edits, or features), that is paid separately as an "Add-on/bonus" at the agreed rate and will appear in your dashboard.

  • Payment timing: Earnings are processed monthly, within three (3) business days after month-end for all verified activity. During the month you’ll see accruals in your dashboard; the cash payout happens right after month end.

Example: In September you earn 100 verified downloads and 30 first rides. Your payout for September activity is X75,000 (downloads) + X7,500 (first rides) = X82,500, processed by the 3rd business day of October. If Monochrome also used one of your videos that month at an agreed X40,000 per asset, that item is added to the same month’s payout (and visible in your dashboard).


4) Promotion Guidelines

What it means: You can promote via social accounts, YouTube, live events, or campaigns, so long as you follow the law and Monochrome’s ethics. The "Confirmation of use consent form" clarifies content usage consent: a separate, optional consent document can be signed if Monochrome wants the rights to use your content and make minor edits (e.g., paid ads, edits, reformatting). Without it, usage stays limited to the scope you’ve already agreed to.

Example: You post a “Day in the Life” featuring Monochrome. Monochrome later asks to run a cut-down of that video to post on their social media account. You’ll be shown a short consent document laying out where/how it’ll run and the per-asset fee. You can accept (and get paid) or decline.


5) Anti-Fraud & Misconduct

What it means: Don’t use bots, scripts, fake accounts, or misleading claims. Don’t harass or misrepresent Monochrome. If Monochrome suspects fraud, it can pause the specific disputed amounts while it checks; this is temporary and focused on the suspicious portion only.

During this time:

  • Undisputed earnings continue to be paid on schedule.

  • “Reasonably suspects” means objective indicators (e.g., patterns of new accounts with identical device IDs/IPs, obvious burner emails, repeated bogus first rides, emails posses suspicious formats e.g abc@gmail.com, 123@gmail.com).

  • If suspicion is cleared, the held amounts are released and paid with the next run.

Example: You generate 200 downloads in October. Analytics flags 30 that look bot-like (same device/IP, zero app activity). Monochrome holds only those 30 while paying you for the other 170 on time. If the 30 later check out, they’re paid in the next cycle.


6) Term & Termination

What it means: The deal runs from the Effective Date to the End Date stated on your cover page. Either party can end it with 7 days’ written notice. Termination for cause (e.g., confirmed fraud) can be immediate.

Example: You move abroad and pause content. You email notice on the 1st; the partnership ends on the 8th. You still get paid for verified activity up to the end date (and any previously held amounts that clear).


7) Independent Contractor

What it means: You’re not an employee. You manage your own taxes, equipment, and schedule. The relationship is a marketing engagement for performance-based and content fees.

Example: You decide your posting cadence and shoot style. Monochrome can add brief ideas, but you control production and aren’t on payroll.


8) Data Privacy & Confidentiality

What it means: You won’t receive personal/identifiable user data. You see only aggregated, anonymized metrics(downloads, first rides, asset usage). You must not request individual user details as this is against our data protection and privacy policy. Any non-public Monochrome information you learn must be kept confidential.

Example: You can view “250 downloads this month, 90 first rides,” but you cannot access who those users are, their phone numbers, or trip history. This request can not be accepted as it breaches our agreement.


9) Governing Law

What it means: The agreement is governed by the laws the territory you reside.

Example: If there’s a contract question (e.g., on a clause’s meaning), it’s handled per the territory you resides laws and regulation.


Other useful information

Fair holds, not forfeits: If Monochrome suspects fraud, it temporarily holds only the disputed portion while paying all undisputed earnings on schedule. “Reasonable suspicion” relies on specific, auditable signals (device/IP clusters, repeated abnormal patterns). This protects the program and ensures you’re not penalized for clean traffic.


Clean payout timeline: Your dashboard shows accruals during the month; actual payout is initiated within three (3) business days after month-end for all verified activity. (e.g., 1st–3rd of the following month) so you can predict cash flow.

Content usage = opt-in + paid: If Monochrome wants to repurpose your content (ads, edits, cropping, formatting), they’ll use a short consent doc with per-asset rates. Nothing extra runs without your OK, and each item appears in your dashboard for transparency and auditability.


Quick Scenarios:

Scenario A — Big month, small flag:
You drive 300 downloads and 110 first rides in November. Analytics flags 20 downloads as likely bot traffic. You’re paid for 280 downloads (X210,000) + 110 first rides (X27,500) by the 3rd business day of December. The 20 held are reviewed; if cleared, they’re paid in the next run.

Scenario B — Content reuse request:
Your haul video performs well. Monochrome asks to post it on our page for X50,000 per asset. You e-sign the short consent doc; the X50,000 appears in your dashboard and is paid with month-end earnings.


Scenario C — Early termination (no drama):
You need a break. You send 7-day notice. The partnership ends on day 8. You still receive verified earnings through your final day. If any items were held pending checks and later clear, they’re paid in the next cycle.


What to Watch / Pro Tips (for brand partners)

  • Always use your referral code/links so every eligible download is tracked to you.

  • Stick to truthful claims (pricing, safety, features). Avoid giveaways or incentives that could look like paid-for downloads—these often trigger fraud checks.

  • Keep content files handy. If Monochrome requests usage, you’ll speed up the consent step and payment by supplying clean, high-res files.

  • Monitor your dashboard. Treat it as the source of truth for accruals, verified counts, content items, and payout status.

  • Ask early if unsure. If you plan a stunt/campaign that’s unusual (mass campus drives, QR posters), loop Monochrome in so tracking and fraud-prevention stay clean.
